Terms of Service

1. Scope

These Terms of Service ("Terms") are a contract between you and IdeaPanner governing your use of the IdeaPanner website and related services ("Services"). By accessing or using the Services you agree to be bound by these Terms. If you disagree, do not use the Services.

2. Account registration & usage

• You agree to provide accurate, complete registration information and not impersonate anyone.
• Signing in with Google means you authorize us to fetch your Google Account display name, email, and avatar for the purposes of creating and maintaining your account.
• You are responsible for all activity under your account, must keep credentials secure, and must notify us immediately of compromise.

3. Service description

IdeaPanner provides indie hackers with website audits, launch scores, prioritized tasks, 7-day launch plans, and an AI assistant. Features are as actually provided; we reserve the right to change them.

• We use commercially reasonable efforts to keep Services available, but are not liable for outages from maintenance, upgrades, or force majeure.
• Audit outputs and AI-generated content are for informational purposes only and do not constitute formal investment, legal, or business advice.

4. Acceptable use

You may not:

• Reverse engineer, crack, exploit vulnerabilities in, or run abusive automation against the Services (DDoS, overzealous crawling, etc.).
• Harass, threaten, violate the legal rights of others, or transmit malware or unlawful content through the Services.
• Input URLs you do not own or lack authorization to audit, or use the Services to harm third-party websites.
• Impersonate IdeaPanner staff or third parties, or access / intercept another user's data without authorization.

5. Intellectual property

• IdeaPanner itself (logo, UI design, code, audit engine, AI prompt engineering, etc.) and related IP are ours or our licensors'.
• You retain all rights to your project data, inputs, and chat history, and grant us only the limited license necessary to operate the Services.
• You may not copy, redistribute, resell, sublicense, or build competitive derivatives of IdeaPanner.

6. Data & privacy

Our collection, use, and sharing of personal information is governed by our Privacy Policy, which is incorporated into these Terms.

7. Disclaimer — to the fullest extent permitted by law

The Services are provided on an "as is" and "as available" basis. We disclaim all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, or accuracy of results.

8. Limitation of liability

Under no circumstances are we liable for indirect, incidental, special, punitive, or consequential damages (lost profits, lost data, business interruption, lost opportunities, etc.) — even if advised of their possibility. Our total aggregate liability for direct damages is capped at the total amount, if any, you paid us for the Services in the 12 months before the claim arose.

9. Termination & suspension

• You can close your account in Settings at any time.
• For material breach of these Terms, we may immediately suspend or terminate access without refund (paid portions handled per any paid-tier terms).

10. Changes to these Terms

We may update these Terms from time to time by posting a revised version here with a new "Last updated" date. Your continued use of the Services after that date constitutes acceptance.

11. Governing law & disputes

These Terms are governed by the laws of Hong Kong SAR, excluding conflict-of-laws principles. Any dispute arising from or related to these Terms will be resolved first through good-faith negotiation; failing that, in the courts of Hong Kong SAR.
